These Terms of Service ("Terms") govern your access to and use of LeadVine Marketing LLC ("LeadVine Marketing," "we," "our," or "the Company") website and your purchase or use of any LeadVine Marketing product or service, including AI Employee, automations, chatbot, and funnel services (collectively, the "Services".

By using our website, you agree to these Terms. By completing a purchase of any Service, checking the “I agree to the Terms of Service” box at checkout, or otherwise signing up for a Service, you affirmatively accept and agree to be bound by these Terms. If you do not agree, do not use our website or purchase our Services.

If you are purchasing Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

Website Purpose and Use

This website provides information about LeadVine Marketing’s services, including SEO, Google Business Profile management, advertising, social media management, website builds, and AI Employee/automation services, along with a means to contact us and purchase certain Services.

You agree to use this website and our Services only for lawful purposes, and not to interfere with their operation, security, or availability, or attempt to gain unauthorized access to our systems or accounts.

No Guarantee of Results

Marketing, SEO, advertising, and AI-driven lead generation outcomes depend on many factors outside our control, including market conditions, platform algorithm changes, and client-specific circumstances. Content on this website and statements about our Services are for general informational purposes and do not guarantee specific rankings, lead volume, appointment volume, revenue, or business outcomes.

AI Employee and Automation Services

Our AI Employee, chatbot, and automation Services use artificial intelligence and automated systems to communicate with your customers, leads, and prospects, schedule appointments, and perform other automated tasks.

AI-generated responses are provided on an “as-is” basis. While we design and configure these systems carefully, we do not guarantee that every AI-generated response, booking, or automated action will be accurate, complete, or free of error.

You are responsible for reviewing and monitoring the performance of your AI Employee and automations on an ongoing basis, particularly during initial setup.

AI Employee and automation Services are not a substitute for professional judgment in situations requiring licensed expertise (for example, providing legal, medical, financial, or safety-critical advice to your customers).

Your Responsibility for Uploaded Data

If you upload, import, or input your own customer, lead, or prospect data into any automation, AI Employee, or contact system through our platform, you represent that you have the lawful right, consent, and authority to collect, use, message, and process that data. LeadVine Marketing does not independently verify the legality, accuracy, or consent status of data you provide, and you remain responsible for your own compliance with applicable privacy, email, SMS, and marketing laws, including CAN-SPAM, TCPA, and A2P 10DLC carrier requirements.

Subscription, Billing, and Auto-Renewal

Certain Services are offered on a recurring, subscription basis, billed monthly. By purchasing a subscription Service, you authorize us to charge your payment method on a recurring basis until you cancel.

Subscriptions renew automatically at the end of each billing cycle unless canceled prior to the renewal date.

You may cancel your subscription at any time by emailing us at [email protected].

To ensure your cancellation is processed before your next billing date, please notify us at least 3 to 5 business days before your renewal date. Cancellations received after that point will take effect at the end of the current billing cycle, and the upcoming charge may still be processed.

No partial refunds are provided for the remainder of a billing period once a payment has been charged, unless otherwise stated at the time of purchase.

No Refund Policy. All payments are final and non-refundable. Services are provided on an “as-is” basis according to the plan purchased. Once a billing cycle has been charged and access has been provided, no refunds will be issued for that period for any reason, including early cancellation, dissatisfaction with results, or changes in your business needs.

Note: These Terms currently apply to month-to-month billing only. If LeadVine Marketing introduces quarterly, semi-annual, or annual billing options, these Terms will be updated to include the advance renewal notice required under Utah law before any such plan is offered.

Intellectual Property

Website Content. All website content, including text, branding, graphics, layout, and original materials, is owned by or licensed to LeadVine Marketing, unless otherwise stated, and may not be copied, reproduced, or distributed without prior written permission.

Built Systems. LeadVine Marketing retains ownership of its proprietary templates, workflows, automation designs, and system architecture used to deliver the Services. You are granted a license to use these systems for as long as you remain an active subscriber to the applicable Service. You retain ownership of your own business data, customer lists, and content that you provide to us.

No Export, Snapshot, or Migration Upon Cancellation

If your access to our platform is cancelled, terminated, or otherwise ends, LeadVine Marketing does not provide exports, snapshots, clones, or migrations of proprietary automations, workflows, funnels, or system configurations built on our platform. This does not limit your ability to maintain your own independent business records, or to export your own contact and customer data where technically available to you prior to cancellation.

Termination and Suspension

We may suspend or terminate your access to our Services if you violate these Terms, misuse the Services, fail to pay applicable fees, or for other legitimate business, security, or compliance reasons. You may cancel your Services at any time as described above.

Payment Terms

Fees for Services are as stated at the time of purchase. Payment is processed through our third-party payment processor, Stripe.

Failed or Late Payments. If a scheduled payment fails, we will automatically attempt to retry the charge through Stripe. If payment is not successfully resolved after a reasonable retry period, your access to the applicable Service may be paused until payment is received. We are not responsible for any disruption to your business resulting from a paused account due to non-payment.

Acceptable Use

You agree not to use our website or Services to violate any law, infringe on any third party’s rights, transmit unlawful, harassing, or fraudulent content, or interfere with the proper functioning of our Services or systems.

Disclaimer

Our website and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

Limitation of Liability

To the fullest extent permitted by law, LeadVine Marketing’s total liability for any claim arising from these Terms or your use of our Services shall not exceed the total amount you paid to LeadVine Marketing in the 3 months preceding the claim. LeadVine Marketing will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or Services, including damages arising from AI-generated responses, automated communications, or third-party platform outages, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless LeadVine Marketing from claims, liabilities, damages, losses, and expenses arising from your misuse of our website or Services, your violation of these Terms, or your failure to have lawful rights to data you upload or process through our platform.

Third-Party Platforms and Tools

Our Services are built using third-party platforms and tools, including our CRM/automation platform, telephony providers, and AI service providers. We are not responsible for the availability, practices, or performance of these third-party providers, which are governed by their own terms and policies.

Children’s Privacy

Our website and Services are not directed at anyone under 18. We do not knowingly collect personal information from anyone under 18. See our Privacy Policy for more information.

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services provided, the parties agree to first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved within 30 days of written notice, the parties agree to submit the matter to final and binding arbitration in Utah County, Utah, in accordance with the rules of the American Arbitration Association. The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction. The prevailing party shall be entitled to recover reasonable attorney’s fees and arbitration costs.

Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.

Changes to These Terms

We may revise these Terms at any time by updating this page. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms.
